1. Agreement and incorporated policies
By creating an account, affirmatively accepting these Terms, or using the Services after being given a reasonable opportunity to review them, you agree to these Terms. If you do not agree, do not create an account or use the Services. The Privacy Policy explains information practices and is not itself a contract waiver. The Acceptable Use Policy and Community Guidelines form part of these Terms.
If you use the Services for a business or organization, you represent that you have authority to bind it; “you” includes that entity. Additional written terms may apply to a paid plan, enterprise workspace, beta, API or jurisdiction. If they conflict, the more specific terms govern that subject.
2. The Services
VISHU offers communication features such as messaging, groups, voice/video calls, screen sharing, location sharing, media, device linking, backup controls and mini apps. ReelEaze offers workspace tools for ideas, drafts, media, calendars, collaboration, approvals, supported analytics and publishing to connected third-party services. Features vary by platform, device, region, account, provider approval and release stage.
Some features operate locally or offline and synchronize later. Offline actions can conflict with newer changes; we may use versioning, ordering and reconciliation rules to resolve them. A visible “sent,” “scheduled,” “published” or similar state reflects the confirmation available to the Service and does not guarantee a recipient viewed content or that a third-party platform will keep a post available.
3. Eligibility and children
You must be at least 13 and at least the minimum age required where you live. If local law requires parental authorization or a higher minimum age, you may use the Services only after that requirement is satisfied. You must be able to enter a binding agreement to create or administer a ReelEaze workspace. A suspended, prohibited or legally barred person may not use the Services.
Parents and guardians are responsible for lawful authorization and appropriate supervision where applicable. The Services are not designed as child-directed services unless GalaWise expressly launches a compliant child-specific experience.
4. Registration, account security and phone numbers
- Provide accurate, current information and keep it updated.
- Register only a phone number, email, social account or workspace you are authorized to use. If a phone number is reassigned, you must update or delete the old account.
- Protect your device, SIM/eSIM, OTPs, passkeys, backup credentials and linked sessions. Never sell, rent or transfer an account without our written authorization.
- Notify us promptly of suspected unauthorized access. We may require reverification, terminate sessions or restrict high-risk actions.
- You are responsible for activity you authorize and for roles, approvals and connected accounts you control. You are not responsible for activity caused solely by our breach of a legal duty or security obligation.
Usernames and identifiers are licensed, not owned. We may reclaim or change them where necessary to address impersonation, trademark conflicts, inactivity, security or technical requirements, with notice where practical.
5. Limited license to use the Services
Subject to these Terms, GalaWise grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the consumer apps and website for their intended purpose. Business workspace access may be used for the authorized organization's internal purposes.
You may not copy, sell, sublicense, rent or commercially exploit the Services; reverse engineer or extract source code except where applicable law expressly permits it; bypass security, access controls or rate limits; use unauthorized automation or clients; create derivative services using our systems or data; or remove proprietary notices. Open-source components remain governed by their licenses.
We and our licensors retain all rights in the Services, software, designs, brands, documentation and technology not expressly granted. Feedback may be used without restriction or payment, but we are not required to use it and it does not transfer ownership of your separate content.
6. Your content and the license needed to operate the Services
You retain ownership of content you create or upload. You grant GalaWise a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, format, adapt for technical requirements, display and otherwise process your content only as reasonably necessary to provide, secure, maintain, support and improve the features you choose. This license includes transmitting content to recipients, workspace members and connected platforms you direct us to use.
The license ends when content is deleted from our active systems, except for copies already delivered to others, content retained by a connected provider, isolated backups awaiting expiry, minimal integrity records, and material lawfully retained for security, disputes or legal obligations. We do not obtain ownership of your content.
You represent that you have all rights, permissions, notices and lawful bases needed for the content and instructions you provide, including copyrights, music and synchronization rights, trademarks, publicity/personality rights, releases, advertising disclosures, personal information and the authority to act for connected accounts. Do not upload confidential information you are not authorized to disclose.
7. Messages, calls, recording, location and emergency use
Supported personal communications are designed to use end-to-end encryption, but encryption cannot control what recipients do with content or protect a compromised device, notification preview, exported file or external backup. Metadata needed to route and operate the Services is not message content and may be processed as described in the Privacy Policy.
You must obtain every consent required before recording a call, capturing a screen, sharing another person's location or conversation, or publishing private information. Screen sharing can expose notifications, personal data and content from other apps; review the screen before and during sharing.
The Services are not emergency services. Calling depends on internet access, device power, push delivery and third-party networks; it may not connect, identify your location or reach emergency responders. Use your local telephone service or official emergency channel for police, fire, medical or other urgent help.
8. ReelEaze workspaces and connected platforms
Authority and roles
Workspace owners and administrators are responsible for inviting the correct people, assigning least-privilege roles, reviewing approvals, removing access promptly and ensuring every connected account is controlled with proper authority. Members must follow the owner's lawful instructions and applicable workplace policies.
Official connections and provider terms
When you connect a platform, you authorize us to use its official interfaces within the scopes you approve. The provider's terms, community rules, developer policies, music/commercial-use rules, advertising disclosures, API limits and privacy policy also apply. You are responsible for audience, scheduling, branded-content, political-advertising, accessibility, rights-clearance and other settings required for each post.
Publishing outcomes
Providers may change, suspend or remove APIs, permissions, accounts, posts or metrics at any time. A destination may support automatic publishing, notification-required publishing, draft transfer or no integration. We do not guarantee that a platform will accept, publish, display, preserve, distribute or accurately report content. You should verify time-sensitive or legally required posts on the destination itself.
Revocation and deletion
Disconnecting stops future use of our authorization but does not delete content already published or data the provider lawfully retains. Remove provider-side content or authorization through that provider where necessary.
9. Third-party services, app stores and mini apps
The Services may depend on or link to operating systems, app stores, push, authentication, maps, cloud backup, telecom, internet, social networks and other third-party services. Their terms and privacy practices apply separately. GalaWise does not control them and is not responsible for their independent acts, content, availability or policy changes, but this does not excuse our responsibility for how we select and use processors under applicable law.
Apple and Google are not parties providing VISHU or ReelEaze, are not responsible for support except as required by their store terms, and may enforce applicable end-user license provisions as third-party beneficiaries where their rules provide. Mini apps may have additional terms shown before use; a third-party mini app must identify its provider.
10. Acceptable use and prohibited conduct
You must comply with law, these Terms, the Acceptable Use Policy, Community Guidelines and connected-provider rules. You must not use the Services to:
- threaten, harass, stalk, exploit or endanger anyone; facilitate human trafficking, terrorism, violence or self-harm; or distribute child sexual-abuse material or non-consensual intimate imagery;
- defraud, impersonate, phish, misrepresent affiliation, manipulate identity or metrics, or send spam or unlawful marketing;
- infringe intellectual-property, privacy, publicity, confidentiality or other rights;
- publish illegal goods, services or content, or evade sanctions, export controls, age gates, platform review or regulatory disclosures;
- introduce malware, probe without authorization, disrupt availability, overload systems, scrape or harvest data, reverse engineer protected components, bypass limits or gain unauthorized access;
- collect, infer, sell or misuse personal information, credentials, tokens, encryption keys or confidential content;
- use unauthorized bots, bulk-account creation or deceptive automation, or misuse reporting, appeals or support channels.
Context matters. Good-faith security research must follow our published reporting route and must not access data beyond what is necessary, persist access, disrupt service, extort, threaten or publicly disclose an unremediated vulnerability.
11. Safety reports, moderation and appeals
Because supported communications are end-to-end encrypted, we generally cannot proactively read them. A reporting user may choose to submit limited content and context for review. We may use available account, metadata, public, provider and reported information to investigate and enforce.
We may warn, rate-limit, restrict features, remove content we host, disable a connection, suspend or terminate an account, preserve evidence, or report conduct where reasonably necessary and proportionate. We may act without advance notice for urgent safety, security or legal risks. Where appropriate and legally required, we will provide reasons and an appeal route. We may make mistakes; an appeal does not guarantee restoration.
12. Copyright, trademark and other rights complaints
Rights owners or authorized agents may send a notice through Contact Us identifying the work or right, the specific content or location, contact information, a good-faith statement, an accuracy/authority statement and any legally required signature. We may request more information, forward the notice to the affected user, remove or restrict hosted content, or restore it after a valid counter-notice where law provides.
Knowingly false notices or counter-notices can create liability. We may terminate repeat infringers where appropriate. Content published on a connected platform may also need to be reported through that platform.
13. Fees, taxes and purchases
Accepting these Terms does not create a paid plan. If paid features are introduced, price, currency, billing period, taxes, renewal, cancellation, refund rights and the responsible merchant will be shown before purchase. App-store purchases are also governed by the store's billing rules. Nothing here limits mandatory cancellation, refund or cooling-off rights.
14. Beta, preview and experimental features
A feature identified as beta, preview, experimental or test may be incomplete, change materially, have lower availability or be discontinued. Do not rely on it for emergencies, legal deadlines, regulatory records, irreplaceable data or high-risk decisions. Confidential previews may be subject to additional written terms. Mandatory consumer rights still apply.
15. Availability, updates and data protection
We work to keep the Services available and secure, but outages, delays, device failure, internet conditions, maintenance, attacks, provider changes and events beyond reasonable control can occur. We may update software automatically where the platform permits, change or discontinue features, and require a supported version for security or compatibility.
Keep independent copies of content you cannot afford to lose and verify important publishing outcomes. Local-first storage and backups reduce risk but do not guarantee recovery. We will provide reasonable notice of a material discontinuation when practical and legally required.
16. Privacy, security and incidents
The Privacy Policy describes data handling and security practices. You are responsible for choosing recipients and audiences carefully, maintaining device security, reviewing linked devices and protecting credentials. We are responsible for duties applicable to us and do not use these Terms to excuse unlawful data handling or unreasonable security.
No system is completely secure. If an incident occurs, rights and duties—including investigation, remediation and legally required notice—are governed by applicable law and the Privacy Policy. Your acceptance of these Terms is not advance consent to negligent security, unlawful disclosure or a waiver of non-excludable remedies.
17. Suspension, termination and account deletion
You may stop using the Services, disconnect integrations and request account deletion. We may restrict or suspend access to protect people or systems, comply with law, address non-payment under a future paid agreement, investigate material breach or enforce these Terms. We may terminate for a material or repeated breach, unlawful use, prolonged inactivity where disclosed, or discontinuation of the Service.
Where appropriate, we will give notice and an opportunity to cure or appeal. Immediate action may be necessary for urgent harm, fraud, security or legal requirements. On termination, your license ends; provisions that by nature should survive—including ownership, content already delivered, disclaimers, liability limits, indemnity, disputes and general terms—continue. Deletion is handled as described in the Privacy Policy and Data Deletion.
18. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and do not warrant uninterrupted, error-free or completely secure operation; that every message, call, backup or post will be delivered, recoverable or accepted; that third-party information or analytics is accurate; or that the Services meet every legal or business requirement.
These disclaimers do not exclude an express commitment we make, a statutory guarantee, product-liability duty, duty of reasonable care, or other warranty or remedy that applicable law does not permit us to exclude. Some jurisdictions do not allow particular disclaimers, so they may not apply to you.
19. Limitation of liability
To the maximum extent permitted by law, GalaWise and its affiliates, officers, employees, licensors and suppliers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or loss of profits, revenue, business opportunity, goodwill or data, arising from the Services, even if advised that such loss was possible.
To the maximum extent permitted by law, our aggregate liability for all claims arising from or relating to the Services during the twelve months before the event giving rise to liability will not exceed the greater of (a) the amount you paid GalaWise for the affected Service during that period or (b) US$100 (or the local-currency equivalent).
The exclusions and cap do not apply to liability that cannot legally be excluded or limited, which may include fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, infringement caused by us, breach of certain confidentiality or data-protection duties, statutory consumer guarantees, product liability, or remedies expressly protected by local law. Nothing in these Terms limits your right to seek injunctive or other non-monetary relief where available.
20. Responsibility for third-party claims
If you use the Services for a business, workspace or commercial publishing activity, you will, to the extent permitted by law, defend, indemnify and hold GalaWise harmless from a third-party claim and reasonable costs arising from your unlawful content, your lack of required rights or permissions, your breach of connected-platform rules, or your material breach of these Terms. We will give prompt notice, allow you to control the defense with qualified counsel, and may participate at our expense. You may not settle in a way that admits fault by or imposes obligations on us without consent.
This business indemnity does not apply to the extent a claim was caused by our act or omission, and it does not impose an indemnity on an individual consumer where prohibited or unfair under applicable law.
21. Resolving disputes
Contact support@vishu.galawise.com first with the account, issue and requested resolution. We will try in good faith to resolve the dispute informally. This does not stop either party from seeking urgent injunctive relief or using a regulator, small-claims forum or consumer process available under mandatory law.
Governing-law and forum details must be completed before launch. The final clause must identify GalaWise's registered entity, country/state of formation and a legally supportable court or arbitration forum after counsel reviews launch markets. Until then, mandatory law and the courts or consumer forums that legally have jurisdiction remain unaffected. No class-action waiver or forced-arbitration clause is created by this draft.
22. Changes to the Services or Terms
We may update the Services and these Terms for new features, providers, risks, security or law. We will post the effective date and provide reasonable advance or prominent notice of material changes where required. Changes do not retroactively eliminate accrued rights. If a material change requires affirmative acceptance, we will ask for it; otherwise, continued use after the effective date constitutes acceptance only where law allows. If you disagree, stop using the Services and use available export or deletion controls.
23. General legal terms
- Entire agreement: these Terms and incorporated policies are the agreement for the consumer Services, unless a signed or product-specific agreement applies.
- Order and severability: a specific supplemental term controls its subject. If a provision is unenforceable, it is limited or removed to the minimum necessary and the rest remains effective, unless that would defeat the agreement's essential purpose.
- No waiver: failure to enforce a provision is not a waiver. A waiver must be explicit and applies only to the stated instance.
- Assignment: you may not assign the agreement without consent. We may assign it as part of a merger, reorganization, financing or sale, subject to notice and mandatory rights.
- No agency: these Terms do not create employment, partnership, joint venture, franchise or agency between you and GalaWise.
- Force majeure: neither party is responsible for delay caused by events beyond reasonable control, except payment obligations and duties that law does not excuse.
- Export and sanctions: you must not use or export the Services in violation of applicable trade controls or sanctions.
- Notices: we may send operational notices in-app, by push, email, SMS or on the website. Legal notices to us must use the verified legal contact route and any physical address published below.
24. Contact and required entity details
Questions about these Terms or legal notices can be sent through Contact Us or support@vishu.galawise.com.
Required before public launch: insert GalaWise's full registered entity name, registration number if required, physical service address, governing law, chosen dispute forum and legally required grievance contacts. A brand name and email address alone may be insufficient for enforceability and regulatory notice.
